Terms of Service

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you and anelo ("anelo," "we," "us," or "our") governing your access to and use of our desktop application, website, cloud services, and related software (collectively, the "Services"). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The Services

anelo provides software and cloud-based services that help users process and convert media files, including 2D-to-3D conversion, upscaling, frame interpolation, depth estimation, and related media operations. The Services may include both local (desktop) processing and remote (cloud) processing components. Features, capabilities, and limits depend on your plan and may change.

3. Accounts

Some features require an account. You agree to provide accurate information, maintain the security of your credentials, and notify us promptly of any unauthorized use. You are responsible for all activity occurring under your account.

4. Plans, billing, and refunds

The desktop application is offered under the plan tiers described on our pricing page. Paid plans, cloud processing, and credits are billed in advance or on a usage basis as described at the point of purchase. Recurring subscriptions renew automatically until cancelled. Except where required by law, fees are non-refundable. You are responsible for applicable taxes.

5. Your content and rights

Ownership.You retain all right, title, and interest in and to the media you submit to the Services ("Your Content"). We do not claim ownership of Your Content.

Your representations. By submitting Your Content, you represent and warrant that:

  • You own Your Content or have obtained all rights, licenses, consents, releases, and permissions necessary to submit it to the Services and to permit the processing described in these Terms;
  • Your Content does not infringe, misappropriate, or violate the intellectual property rights, privacy rights, publicity rights, or any other rights of any person or entity;
  • Your submission and use of the Services complies with all applicable laws, regulations, and third-party agreements;
  • You are responsible for Your Content and for your use of the Services in connection with Your Content.

License to anelo. Solely to operate, provide, and improve the Services for you, you grant anelo a limited, non-exclusive, royalty-free, worldwide license to access, store, transmit, process, and modify Your Content as necessary to perform the processing you request. This license is limited to the purpose of providing the Services and does not grant anelo any independent right to commercialize or distribute Your Content.

6. Acceptable use

You agree not to use the Services to:

  • Violate any applicable law, regulation, or third-party right;
  • Process content you do not have the right to process, including infringing, stolen, or unlawfully obtained content;
  • Process content depicting child sexual abuse material (CSAM) or other illegal content;
  • Create non-consensual intimate imagery or content that defames, harasses, or endangers real persons;
  • Attempt to reverse engineer, decompile, or circumvent any security feature of the Services, except as permitted by law;
  • Use the Services to develop a competing product;
  • Interfere with or disrupt the Services or attempt to gain unauthorized access to any part of them;
  • Submit content that contains malware, viruses, or other harmful code.

We may suspend or terminate accounts that violate these Acceptable Use provisions, including without notice in cases involving illegal content or active threats to the Services or other users.

7. Third-party services and components

The Services may rely on or integrate with third-party services, libraries, and infrastructure (including cloud compute, storage, payment processors, and model providers). Your use of those components may be subject to additional third-party terms. Open-source components included in the Services are licensed under their respective licenses; attribution and license texts are provided where required.

8. Intellectual property

We retain all right, title, and interest in and to the Services, including all related software, models, technology, branding, and documentation, subject to your rights in Your Content. No rights are granted except as expressly set forth in these Terms.

9. Copyright and DMCA

We respond to valid notices of claimed copyright infringement consistent with the Digital Millennium Copyright Act (DMCA) and equivalent laws. To submit a notice, contact legal@anelo.ai. Repeat infringers may have their accounts terminated.

10. Cooperation with law enforcement

anelo cooperates with lawful requests from governmental authorities, courts, and law enforcement, including valid subpoenas, court orders, and equivalent legal process. We may disclose information to comply with applicable law, protect the rights, property, or safety of anelo, our users, or the public, or investigate or respond to suspected violations of these Terms.

11. Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR QUALITY OF ANY OUTPUTS PRODUCED BY THE SERVICES.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANELO AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

13. Indemnification

You agree to defend, indemnify, and hold harmless anelo and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) Your Content, (b) your use of the Services, (c) your violation of these Terms, or (d) your violation of any law or third-party right.

14. Termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access to the Services for any breach of these Terms, for legal or security reasons, or upon reasonable notice for convenience. Provisions that by their nature should survive termination will survive.

15. Changes to the Services and Terms

We may modify the Services at any time. We may also revise these Terms; when we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Services will be resolved in the state or federal courts located in Delaware, and you consent to the exclusive jurisdiction of those courts. Where required by applicable law, mandatory consumer protections in your jurisdiction may apply.

17. General

These Terms constitute the entire agreement between you and anelo regarding the Services and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, or sale.
